1. Introduction
Earlywave Ventures B.V., operating under the name Upstream Festival, registered with the Dutch Chamber of Commerce under number 98077244, having its office in Rotterdam, the Netherlands (hereinafter: “Upstream Festival,” “we,” or “us”) is a Dutch owned company specialized and focused on organizing startup and technology conferences as well as consulting/advising entities related to the same.
These terms and participation conditions (hereinafter the “Terms”) set out the terms and conditions applicable to the use of Upstream Festival Services. Accordingly, in these terms, “Upstream Services” refer to the event Upstream Festival, upstreamfestival.com and to all services, events, collaborations, and agreements organized or executed by Earlywave Ventures BV including applicable features such as, but not limited to, online events, online ticket store and other features available on the online platform provided by Upstream Festival.
You may be bound by additional contracts related to your relationship with us or any products or services that you receive from us. If any provisions of the additional contracts conflict with any provisions of these Terms, the provisions of these additional contracts will control and prevail.
These terms and participation conditions apply to everyone participating in or collaborating with Upstream, including visitors, partners, sponsors, speakers, suppliers, and other involved parties. By participating or collaborating, you agree to these terms. In case of discrepancies between the Dutch and English versions of these Terms, the Dutch version shall prevail.
2. Binding
We kindly ask you to read these Terms carefully and note that Upstream Festival may, from time to time, amend these Terms. Such amended Terms will be made available on Upstream Services, as applicable, and become binding upon the Users thirty (30) days after the Effective Date. By continuing to use Upstream Services, the User accepts the amended Terms. Amended Terms will be published on upstreamfestival.com and, where applicable, communicated via email to registered users.
3. Definitions
Organizer: Earlywave Ventures BV
Participant: any person (‘individual user’) or authorized representative of a legal entity (‘business User’) who purchases a ticket, attends an event or makes use of the ‘Upstream Services’.
Partner / Sponsor: any party entering into a collaboration agreement with Upstream
Event: the Upstream Festival and related side events, meetings, or online programs
Agreement: any arrangement or contract between the Organizer and a Participant, Partner, or other party
4. Tickets & Access (for Participants/Visitors)
4a. Tickets are personal and non-transferable, unless explicitly stated otherwise. Tickets may not be resold or transferred for commercial purposes, except through official resale channels approved by the Organizer.
4b. The Organizer reserves the right to deny access, for example in cases of misconduct or safety concerns.
4c. Access may be refused without a valid ticket or ID.
4d. Tickets are non-refundable unless the event is cancelled by the Organizer. The statutory right of withdrawal (herroepingsrecht) does not apply to tickets, as the service concerns leisure activities taking place on specific dates (Article 6:230p sub e Dutch Civil Code).
4e. If the event is rescheduled, tickets remain valid for the new date.
4f. Any refunds are limited to the ticket price; additional costs such as travel or accommodation will not be reimbursed.
4g. Ticket price list is made available on Upstream Services. The applicable ticket price shown on Upstream Services excludes VAT.
4h. Persons under the age of 18 are not permitted entry to the ‘Upstream Services’. Any exception to this policy is in the sole discretion of Upstream and permissions for under aged participants must be requested by the User, or a relevant third party, and provided by Upstream prior entering into the Upstream platform or the Upstream event.
5. Partners, Sponsors & Collaborations (for business relations)
5a. Quotations from Upstream are without obligation unless stated otherwise.
5b. A collaboration is established upon written confirmation or payment of the invoice.
5c. Invoices must be paid within 30 days of the invoice date, unless otherwise agreed. The Partner shall not be entitled to suspend or offset any payment obligations against any claims. In case of late payment, statutory commercial interest (Article 6:119a Dutch Civil Code) shall apply.
5d In case of cancellation by the Partner:
- Up to 60 days before the event: 50% of the amount is due
 - Within 30 days: 100% is due
 
5e The Partner may only use the Upstream logo or brand with written permission.
5f By participating in the program, the Partner agrees that their name and logo may be used in event-related communications.
5g All invoices are issued in euros and exclusive of VAT, unless otherwise agreed in writing.
6. Third party Service providers.
The Participant acknowledges that some interfaces or integration tools relating to Upstream Services may be provided by third parties and/or may have connections or links to third-party service providers’ software or systems. Upstream Festival shall not, under any circumstances, be liable for the actions of such third parties or the parts of the interfaces or integration tools which are delivered, maintained or owned by third parties.
7. Code of Conduct
Upstream strives to create an inclusive, safe, and respectful environment.Discrimination, harassment, or any other inappropriate behavior will not be tolerated.The Organizer may remove or exclude participants or partners who violate these rules without any right to a refund or compensation.
8. Liability & Force Majeure
8a Participation in the event is at your own risk.
8b The Organizer is not liable for loss, theft, damage, or injury, unless caused by intent or gross negligence.
8c Upstream is not liable for indirect damages such as loss of profit or revenue.
8d In case of force majeure (such as pandemics, government measures, fire, strikes, or natural disasters), the Organizer may cancel or reschedule the event without liability for any resulting damages. The Organizer’s total liability towards a Participant or Partner, whether contractual or tortious, shall not exceed the total amount paid by that Participant or Partner for the relevant Upstream Service.
8e Any claim relating to participation in the event must be notified to the Organizer in writing within two (2) months after the event; claims submitted thereafter will not be considered.
9. Photo, Video & Audio Recordings
Photos, videos, and audio recordings may be made during events.
By participating, you consent to the use of such materials by Upstream for promotional and communication purposes. If you prefer not to appear in media, please inform the team upon arrival.
By participating, you grant Upstream a non-exclusive, royalty-free, worldwide license to use your likeness in any promotional or communication materials, in any media, for legitimate business purposes.
10. Intellectual Property
10a. All materials, program elements, texts, images, and recordings created by Upstream remain the property of Earlywave Ventures BV. They may not be reproduced, shared, or used commercially without written permission.
10b.Partners may use their own materials within the agreed context of the event.
10c. No ownership rights are transferred to Participants or Partners. Any license granted by Upstream is limited to the specific purpose and duration of the event.
11. Privacy & Data Processing
Upstream processes personal data in accordance with its Privacy Policy.Data is used solely for purposes related to the execution of the event or collaboration and will not be shared with third parties without consent. Personal data may be processed by third parties acting as data processors on behalf of Upstream, in accordance with Article 28 GDPR. 12. Program Changes
12a. The Organizer reserves the right to change programs, speakers, times, or locations without prior notice.
12b. Announcements or line-ups do not guarantee the participation of specific individuals or organizations.
13. Governing Law & Disputes
These terms are governed by Dutch law. Any disputes will be submitted to the competent court in Rotterdam.
14. Miscellaneous
14a. These Terms only cover Upstream Services and the use thereof, and any and all linked third-party services and platforms are provided by the relevant third parties and covered by their terms of use or other agreement or license. Upstream Festival does not assume any liability with regard to use of such third-party services and platforms, whether or not they are linked to Upstream Services.
14b. The content on Upstream Services, including, but not limited to, the text, graphics, images, links, and other materials are for informational purposes only. Upstream Festival does not recommend or endorse any specific information that may be mentioned on Upstream Services. Reliance on any information provided on Upstream Services is solely at the User’s own risk.
14c. If any provision of these Terms is held invalid or unenforceable, the remainder of these Terms shall continue in full force and effect.
14d. No agency, partnership, or employment is created as a result of these Terms.

14f Failure by either party to enforce any provision of these Terms shall not be construed as a waiver of its rights.
Version
Version: October 2025. Replaces all previous versions. The Dutch version prevails in case of discrepancy.
